This End User License Agreement (the “Agreement”) is a legal agreement between you (“User” or “you”) and Huddlz Chat Technologies Private Limited (“Huddlz”, “Huddlz Chat” “we”, “us”, or “our”). This Agreement governs your use of the mobile application Huddlz (the “App”) provided by Huddlz Chat Technologies Private Limited, a company incorporated under the laws of India.

By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the App.

1. License Grant
   Huddlz Chat Technologies Private Limited grants you a non-exclusive, non-transferable, limited license to download, install, and use the App solely for personal, non-commercial purposes, in accordance with this Agreement.
2. Eligibility
   You must be at least 13 years of age to use the App. If you are under the age of 18, you must have your parent or guardian review and accept this Agreement on your behalf.
3. Intellectual Property
   The App, including its software, content, design, graphics, and features, as well as any related trademarks, logos, and service marks, are the exclusive intellectual property of Huddlz Chat Technologies Private Limited. You do not acquire any ownership rights by using the App, and all rights, titles, and interests in the App and its content are reserved by Huddlz Chat Technologies Private Limited or its licensors. You may not copy, modify, reproduce, distribute, or otherwise exploit the App or its contents without express written permission from us.
4. User-Generated Content
   You may be able to create, upload, and share content (including text, images, videos, and other media) (“User-Generated Content” or “UGC”) through the App. You retain ownership of your UGC, but by submitting, uploading, or sharing content through the App, you grant Huddlz Chat Technologies Private Limited a worldwide, non-exclusive, royalty-free license to use, display, and distribute your UGC within the App and for promotional purposes, in any medium now known or later developed.

Responsibility for Content: You are solely responsible for the User-Generated Content you create or upload. You agree NOT to submit any content that:

• Is abusive, sexually explicit, violent, hateful, discriminatory, or harmful.
• Violates any law, regulation, or third-party rights.
• Contains malicious software, viruses, or other harmful components.

Huddlz Chat Technologies Private Limited reserves the right to monitor, remove, or block any content that violates this Agreement, and may suspend or terminate accounts of users who repeatedly violate the guidelines.

5. User Private Data
   As part of the App’s functionality, we may collect and store certain personal data to provide enhanced features, such as app usage data and device information.

Privacy Protection: We will take reasonable precautions to protect your private data from unauthorized access, misuse, or disclosure.

6. Content Moderation and Policy Enforcement

Huddlz Chat Technologies Private Limited is committed to maintaining a safe and respectful environment. We have policies in place to ensure that the App is used responsibly. This includes:

Content Monitoring: We reserve the right to monitor and review User-Generated Content for compliance with our policies. Content that violates our guidelines may be removed, and violators may be banned.

There are 2 types of violation:

1. Violation of group or community policies set forward by the admins. In this case the content will be removed immediately. The user will be initially warned by muting the user for 14 days and on repeated violation, the user will be blocked from the community or group.
2. Violation of app policy: Once the user is reported, the app admin team will review the content generated by the user. If the user indeed violated the app policies, his account will be suspended. He can appeal to restore the account by sending us the detail email about his understanding of policies.

• Group Chat Messages or Module Posts: When a post or group message is flagged or reported by other users as inappropriate for community, the post or the message will be immediately removed from all the devices and will be sent to the community admins for the review. Community admins have 24hrs to review and restore the content. If the admin approves that the content is inappropriate or if the admin fails to take any action, the content will be permanently removed and can not be restored.
• Reporting abusive user: If the user is reported to be posting abusive content, the app admin team will manually review the content and will suspend the account of the user.
• Direct Messages: In case of direct messages, the user can block or unblock the other user.

7. Updates and Modifications
   Huddlz Chat Technologies Private Limited will regularly update the App to improve features, fix bugs, and enhance functionality. By using the App, you acknowledge that the App may be updated automatically without notice. These updates may be mandatory for continued use of the App.

We reserve the right to modify or discontinue the App at any time, without notice or liability.

8. Termination
   Huddlz Chat Technologies Private Limited reserves the right to suspend or terminate the user access to the App at any time, without notice, for any reason, including if you violate this Agreement.
9. Limitation of Liability
   To the maximum extent permitted by law, Huddlz Chat Technologies Private Limited shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the App, including but not limited to loss of data, revenue, or business, even if we have been advised of the possibility of such damages.
10. Indemnification
    You agree to indemnify, defend, and hold harmless Huddlz Chat Technologies Private Limited, its officers, directors, employees, agents, and affiliates from any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the App or any violation of this Agreement.
11. Dispute Resolution
    Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the laws of India. The venue for arbitration shall be Bengaluru, Karnataka, India.
12. Changes to the Agreement
    Huddlz Chat Technologies Private Limited may update or modify this Agreement from time to time. We will notify you of any significant changes through the App or by email. Your continued use of the App after such changes constitutes your acceptance of the updated Agreement.
13. Severability
    If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
14. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
